Jack advises clients on a broad array of commercial and technology transactions primarily involving the development, deployment, licensing and distribution of complex technology in diverse range of disciplines including e-commerce, software licensing and content, digital media, blockchain and distributed ledgers, Internet of Things (IoT) and other areas where there is an intricate interplay of law and technology.

As part of his transactional practice, Jack is routinely involved in the structuring, negotiation and preparation of all documentation relating to technology transactions including:

  • strategic collaborations and joint ventures between technology stakeholders;

  • software licensing and development arrangements;

  • technology transfers and business process outsourcings;

  • joint development and systems integration projects including the integration of IoT technology into native platforms;

  • structuring novel technology delivery models using cloud and “as-a-service” platforms;

  • e-commerce matters and all attendant agreements including terms of service, end user license agreements, data protection and privacy policies; and

  • advice on data privacy and data protection.

Jack also provides practical counsel on general corporate advisory matters including M&A, private equity and venture capital transactions. He also acts a virtual counsel for a number of companies from startups and emerging companies to public-listed corporations.

Jack graduated from the University of Melbourne with a double degree in Commerce (majoring in Economics and Finance) and Laws in 2008. He obtained his Certificate of Legal Practice in 2009 where he received the Judge’s Award for the best results in contract law and torts. Jack was called to the Malaysian Bar in 2010 and began his legal career with the Corporate Finance & Securities practice of Messrs. Zaid Ibrahim & Co (a member of ZICO Law).

Jack speaks fluent English, Bahasa Malaysia and is conversant in Cantonese.


Notable Transactions

  • Acting as the principal outside counsel for Graaab, a public-listed technology company that purveys the Graaab JaGaApp, including attending to all legal matters which span the drafting of their entire suite of services agreements for the establishment and expansion of its business in Malaysia.

  • Acting as the principal outside counsel for one of Malaysia's largest integrated bottled water manufacturers including advisory on its acquisition and deployment of Malaysia's largest integrated combi bottling line for RM15 million; advising on all import and export license requirements and and compliance with all applicable laws including the Foods Act 1983 and Food Regulations 1985.

  • Advised a technology company on the deployment and roll-out of a network of federated smart lockers providing automated end-of-mile delivery solutions accessible via multiple platforms and mobile apps.

  • Advised and drafted the requisite advertiser and publisher agreements with respect to the implementation of a programmatic advertising platform for digital marketing services.

  • Advised on the structuring of a complex tri-party revenue-sharing arrangement between the owner of a technology platform, the predominant users of the platform and provisional stakeholders.

  • Advised on the roll-out of a proprietary advertising arrangement between a technology company, advertisers and owners of the media vehicles for the placement and delivery of branding content.

  • Advised on the systems integration of a Swiss smart home IoT system into a local startup's native platform, including the drafting of the Master System Integration Agreement between the parties.

  • Advised on system integration between client and recommend.my, a provider of third-party professional services platform including the drafting on the Master Integration Agreement between the parties.

  • Advising a public-listed company on the implementation of an electronic payment facility, including the drafting of the facility’s terms and conditions.

  • Advised a technology company on its branding and marketing initiative with third-party vendors, including the drafting of the Platform Branding Agreement between the parties.

  • Advised a public-listed company on its proposed strategic partnership with a insurance broker including the drafting on a Strategic Marketing Agreement between the parties.

  • Advised a local startup on its joint venture in Vietnam including the drafting of the applicable joint venture agreements and technology license agreements.

  • Advising startups on the various technology matters including the drafting of core documents including without limitation, terms of services and user agreements, service-as-software agreements, licensing agreements, technology transfer agreements, non-disclosure and confidentiality agreements, end user license agreements and data protection and privacy policies.
